1. Acceptance of Terms

1.1 Agreement

By accessing or using Spotli.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). These Terms constitute a legally binding agreement between you and Arara LLC ("Spotli," "we," "us," or "our"), a company incorporated in Delaware, United States.

1.2 Eligibility

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use our Service. By using the Service, you represent and warrant that you meet these requirements.

1.3 Business Use

The Service is designed for business use. By using the Service on behalf of a business or organization, you represent that you have the authority to bind that entity to these Terms.

1.4 Additional Terms

Your use of the Service is also subject to our Privacy Policy, which is incorporated into these Terms by reference.


2. Description of Service

2.1 Overview

Spotli.ai is an AI-powered marketing platform that enables small and medium businesses to:

  • Connect social media accounts (Instagram, Facebook, TikTok)
  • Create marketing content using AI-powered conversational agents
  • Generate and publish posts, stories, and videos to social media
  • Create and manage advertising campaigns (Meta Ads, TikTok Ads)
  • View analytics and performance metrics
  • Manage subscriptions and payments

2.2 Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control.

2.3 Modifications to Service

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time. We will provide reasonable notice for material changes that affect your use of the Service.


3. Account Registration

3.1 Account Creation

To use the Service, you must create an account by providing accurate and complete information. You may register using your email address or through third-party authentication providers (e.g., Google).

3.2 Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access or security breach

3.3 One Account Per User

Each user may maintain only one account. Creating multiple accounts to circumvent restrictions or abuse the Service is prohibited.

3.4 Account Information

You agree to keep your account information current and accurate. We may suspend or terminate accounts with false or outdated information.


4. Subscriptions and Payments

4.1 Subscription Plans

The Service is offered on a subscription basis. Pricing may vary by region and is subject to change with notice.

4.2 Billing

  • Subscriptions are billed monthly on a recurring basis
  • Billing occurs on the same date each month (or the closest available date)
  • All fees are charged in US Dollars (USD)
  • Payment is processed through Stripe

4.3 Payment Methods

We accept major credit cards and other payment methods supported by Stripe. You authorize us to charge your payment method for all fees incurred.

4.4 Free Trials

We may offer free trials at our discretion. At the end of a free trial, your subscription will automatically convert to a paid subscription unless you cancel before the trial ends.

4.5 Cancellation

  • You may cancel your subscription at any time through your account settings
  • Cancellation takes effect at the end of the current billing period
  • You will retain access to the Service until the end of your paid period

4.6 Refunds

  • No refunds are provided for partial billing periods
  • No refunds are provided for unused portions of your subscription
  • Refunds may be issued at our sole discretion for exceptional circumstances

4.7 Price Modifications

Spotli may modify the prices of its subscription plans to reflect changes in operating costs, service improvements, market conditions, or inflation adjustments.

In the event of a price increase, Spotli will notify you by email at least thirty (30) days before the new price takes effect. The notification will include the current price, the new price, the effective date, and instructions for canceling your subscription if you do not wish to accept the change.

If you do not agree with the new price, you may cancel your subscription at any time before the effective date of the increase, without penalty or additional charge. In case of cancellation, you will receive a prorated refund for any unused prepaid period.

If you do not cancel your subscription before the effective date, you will be deemed to have accepted the new price, which will apply starting from the next billing cycle. Under no circumstances will a price increase be applied retroactively to the current billing period.

Price reductions may be applied at any time without prior notice.

4.8 Failed Payments

If a payment fails, we will attempt to charge your payment method again. After repeated failures, we may suspend or terminate your account.


5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful business purposes in accordance with these Terms.

5.2 Prohibited Activities

You agree not to:

  • Post, publish, or distribute spam, unsolicited messages, or bulk communications
  • Create or distribute illegal, harmful, threatening, abusive, harassing, defamatory, or obscene content
  • Post content that infringes intellectual property rights of others
  • Publish misleading, deceptive, or fraudulent content
  • Create content that promotes illegal activities or violates applicable laws

Platform Abuse:

  • Use automated tools, bots, or scripts to access the Service in a manner that exceeds normal human usage
  • Attempt to circumvent rate limits, usage restrictions, or security measures
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Access accounts or data belonging to other users
  • Resell, sublicense, or redistribute the Service without authorization

Social Media Violations:

  • Violate the terms of service of connected social media platforms (Meta, TikTok)
  • Use the Service to create fake accounts or impersonate others
  • Engage in coordinated inauthentic behavior
  • Artificially inflate engagement metrics
  • Publish content that violates platform-specific advertising policies

Legal Violations:

  • Violate any applicable laws or regulations
  • Infringe on the rights of others
  • Engage in activities that could harm minors

5.3 Enforcement

We reserve the right to investigate violations and take appropriate action, including:

  • Removing content
  • Suspending or terminating accounts
  • Reporting illegal activity to authorities
  • Pursuing legal remedies

6. User Content

6.1 Your Content

"User Content" includes any text, images, videos, or other materials you upload, create, or publish through the Service.

6.2 Ownership

You retain all ownership rights to your User Content. We do not claim ownership of content you create.

6.3 License to Spotli

By using the Service, you grant Spotli a worldwide, non-exclusive, royalty-free license to:

  • Store, process, and display your User Content within the Service
  • Publish your User Content to connected social media platforms as directed by you
  • Use your User Content to improve and develop the Service (in aggregated, anonymized form)

This license continues until you delete your User Content or account, except for content already published to third-party platforms.

6.4 Responsibility for Content

You are solely responsible for your User Content and any consequences of publishing it. You represent that you have all necessary rights to the content you upload and publish.

6.5 Content Removal

We may remove User Content that violates these Terms or applicable laws, with or without notice.


7. AI-Generated Content

7.1 Nature of AI Content

Our Service uses artificial intelligence to help generate marketing content. AI-generated content is created by machine learning models and may include text, images, and other media.

7.2 No Guarantee of Accuracy

IMPORTANT: AI-generated content:

  • May contain errors, inaccuracies, or inconsistencies
  • May not always be factually correct or up-to-date
  • May not be suitable for all purposes or audiences
  • Should not be relied upon without human review

7.3 Your Responsibility

You are solely responsible for:

  • Reviewing all AI-generated content before publishing
  • Verifying the accuracy and appropriateness of content
  • Ensuring content complies with applicable laws and platform policies
  • Any consequences of publishing AI-generated content

7.4 No Professional Advice

AI-generated content does not constitute professional advice (legal, medical, financial, or otherwise). You should consult qualified professionals for such matters.

7.5 Rights to AI-Generated Content

Subject to these Terms, you may use AI-generated content created through your use of the Service for your business purposes. However, similar content may be generated for other users.

7.6 AI Improvement

We may use anonymized, aggregated data from AI interactions to improve our models and Service. We do not use your personally identifiable information for this purpose without consent.


8. Social Media Platform Terms

8.1 Third-Party Platforms

The Service integrates with third-party social media platforms including Meta (Facebook, Instagram) and TikTok. Your use of these integrations is subject to the respective platform's terms of service.

8.2 Platform Compliance

You agree to:

  • Comply with Meta's Terms of Service and Platform Policies
  • Comply with TikTok's Terms of Service and Community Guidelines
  • Comply with all applicable advertising policies
  • Maintain valid accounts in good standing on connected platforms

8.3 Authorization

By connecting your social media accounts, you authorize Spotli to:

  • Access your account information and analytics
  • Publish content on your behalf
  • Manage advertising campaigns on your behalf

8.4 Platform Changes

Social media platforms may change their APIs, policies, or terms at any time. Such changes may affect the functionality of our Service. We are not responsible for changes made by third-party platforms.

8.5 Account Revocation

Social media platforms may revoke access to your accounts at any time. We are not responsible for any disruption to your Service caused by platform actions.


9. Intellectual Property

9.1 Spotli Property

The Service, including its software, design, logos, trademarks, and documentation, is owned by Spotli and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works without our written permission.

9.2 Trademarks

"Spotli," "Spotli.ai," and our logos are trademarks of Arara LLC. You may not use our trademarks without written permission.

9.3 Feedback

If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use and incorporate such Feedback without compensation or attribution.


10. Third-Party Services

10.1 Integrations

The Service integrates with third-party services including payment processors, authentication providers, and social media platforms. Your use of these services is subject to their respective terms and privacy policies.

10.2 No Endorsement

Integration with third-party services does not imply endorsement. We are not responsible for the content, policies, or practices of third-party services.

11. Disclaimer of Warranties

  • ACCURACY OR COMPLETENESS OF CONTENT

11.3 AI Content Disclaimer

WE MAKE NO WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR SUITABILITY OF AI-GENERATED CONTENT. YOU USE AI-GENERATED CONTENT AT YOUR OWN RISK.

11.4 Third-Party Services

WE MAKE NO WARRANTIES REGARDING THIRD-PARTY SERVICES, PLATFORMS, OR INTEGRATIONS.


12. Limitation of Liability

12.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPOTLI SHALL NOT BE LIABLE FOR ANY:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITIES
  • COST OF SUBSTITUTE SERVICES
  • DAMAGES RESULTING FROM UNAUTHORIZED ACCESS TO YOUR ACCOUNT
  • DAMAGES RESULTING FROM THIRD-PARTY PLATFORM ACTIONS

12.2 Liability Cap

OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12.3 Essential Purpose

THESE LIMITATIONS APPLY EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE AND REGARDLESS OF THE THEORY OF LIABILITY.

12.4 Jurisdictional Variations

SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS OF LIABILITY. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.


13. Indemnification

You agree to indemnify, defend, and hold harmless Spotli and its officers, directors, employees, agents, and affiliates from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Your User Content
  • Content you publish through the Service
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your violation of applicable laws or regulations

14. Termination

14.1 Termination by You

You may terminate your account at any time through your account settings or by contacting us at contact@spotli.ai.

14.2 Termination by Spotli

We may suspend or terminate your account at any time, with or without cause, including for:

  • Violation of these Terms
  • Fraudulent or illegal activity
  • Non-payment of fees
  • Extended inactivity
  • At our sole discretion with reasonable notice

14.3 Effect of Termination

Upon termination:

  • Your right to access the Service ends immediately
  • We will delete your data in accordance with our Privacy Policy
  • You remain responsible for any outstanding fees
  • Content already published to social media platforms will remain on those platforms

14.4 Survival

The following sections survive termination: Intellectual Property, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution, and Governing Law.


15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before initiating formal dispute resolution, you agree to contact us at contact@spotli.ai and attempt to resolve the dispute informally for at least 30 days.

15.2 Binding Arbitration

Any dispute not resolved informally shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules.

15.3 Arbitration Terms

  • Arbitration will be conducted in Delaware, United States
  • The arbitrator's decision shall be final and binding
  • Judgment on the award may be entered in any court of competent jurisdiction
  • Each party shall bear its own costs, with arbitration fees shared equally

15.4 Class Action Waiver

YOU AGREE TO RESOLVE DISPUTES ONLY ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

15.5 Exceptions

The following are not subject to arbitration:

  • Actions to protect intellectual property rights
  • Claims for injunctive relief
  • Small claims court actions within jurisdictional limits

15.6 Opt-Out

You may opt out of arbitration by sending written notice to contact@spotli.ai within 30 days of first accepting these Terms.


16. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.

16.2 Jurisdiction

For matters not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware, United States.


17. Changes to Terms

17.1 Modifications

We may modify these Terms at any time. When we make changes:

  • We will update the "Last Updated" date
  • For material changes, we will notify you by email or through the Service
  • Changes take effect upon posting unless otherwise specified

17.2 Acceptance

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service.


18. General Provisions

18.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spotli regarding the Service.

18.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall continue in effect.

18.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision.

18.4 Assignment

You may not assign or transfer these Terms without our written consent. We may assign these Terms without restriction.

18.5 Force Majeure

We shall not be liable for any failure or delay caused by circumstances beyond our reasonable control.

18.6 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and Spotli.

18.7 Headings

Section headings are for convenience only and do not affect interpretation.

18.8 Language

These Terms are written in English. Translations are provided for convenience only, and the English version prevails in case of conflict.
